Terms of Service

These Terms of Service govern your use of WebCD ("we," "us," or "our") and the services we provide at webcd.io. By creating an account, you agree to these terms. Our use of your personal information is described in our Privacy Policy.

1. What WebCD Is

WebCD is a platform for artists to create and distribute interactive digital albums, accept fan payments, and enables artists to issue physical NFC cards tied to their music. Fans can listen to and collect artist WebCDs.

2. Your Account

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account and for all activity that occurs under it. You must be at least 18 years old to use WebCD.

3. Content

You retain ownership of all music, artwork, and other content you upload to WebCD. WebCD does not take on any ownership of your music — you retain 100% of your rights. By uploading content, you grant WebCD a limited license to host, display, and distribute that content to fans through the platform.

You are solely responsible for ensuring you have the rights to all content you upload. You may not upload content that infringes on the intellectual property rights of others.

4. Copyright Complaints (DMCA)

WebCD respects the intellectual property rights of others and responds to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act. If you believe content on WebCD infringes your copyright, send a written notice to our designated agent that includes:

(1) a physical or electronic signature of the copyright owner or a person authorized to act on their behalf; (2) identification of the copyrighted work claimed to be infringed; (3) identification of the material claimed to be infringing, with information reasonably sufficient to let us locate it; (4) your name, address, telephone number, and email address; (5) a statement that you have a good faith belief the use is not authorized by the copyright owner, its agent, or the law; and (6) a statement, made under penalty of perjury, that the above information is accurate and that you are the copyright owner or authorized to act on their behalf.

A user whose content is removed in response to a notice may submit a counter-notification as provided under 17 U.S.C. § 512(g). We may terminate the accounts of users determined to be repeat infringers.

5. Our Role as a Platform

WebCD is a technology platform that connects artists and fans. We are not a party to any transaction, agreement, promise, or interaction between an artist and a fan — including donations, signature purchases, card fulfillment, or anything else exchanged through the platform. Artists operate independently of WebCD and are solely responsible for their own content, pricing, claims, and fulfillment of anything they offer to fans.

We do not vet, endorse, or guarantee any artist, their content, or their conduct. Interactions between artists and fans — including any dispute, complaint, or expectation about what was promised or delivered — are solely between those parties.

6. Payments and Platform Fee

WebCD enables fan payments directly to artists via Stripe Connect. Artists must connect a Stripe account to accept payments. WebCD charges a 10% platform fee on all transactions processed through the platform, including signatures and fan donations. The remaining amount is transferred to the artist's Stripe account.

All payments are processed by Stripe and subject to Stripe's terms. WebCD does not store payment card information.

No Refund Policy. All payments made through WebCD, including donations and signature fees, are final and non-refundable. WebCD does not issue refunds under any circumstances, including on behalf of an artist. If you have a complaint related to a purchase or interaction with an artist, direct it to that artist and their team directly — WebCD may, at its sole discretion, assist in good faith, but is under no obligation to mediate, investigate, or resolve disputes between artists and fans.

While WebCD is not a party to the underlying agreement between an artist and a fan, WebCD may bear the direct cost of a payment dispute or chargeback under our payment processor's policies, regardless of the outcome of any dispute between artist and fan. WebCD reserves the right to recover such costs from an artist's current or future payouts.

7. Pro Subscription

WebCD offers a Pro plan at $9/month which unlocks additional features including increased album limits, analytics, and NFC card locking. Subscriptions are billed monthly and can be cancelled at any time. Cancellation takes effect at the end of the current billing period. Refunds are not issued for partial billing periods.

8. NFC Cards

Artists may generate NFC card URLs and program them onto physical NFC chips. These cards allow fans to link the card to their account and access card-exclusive content. WebCD is not responsible for the manufacture, shipping, or physical condition of any NFC cards produced by artists.

9. Prohibited Use

You may not use WebCD to upload or distribute content that is unlawful, infringing, defamatory, or harmful. You may not attempt to circumvent any platform security measures, abuse the payment system, or use the platform to defraud artists or fans.

10. Indemnification

You agree to indemnify, defend, and hold harmless WebCD and its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your content; (b) your use of the platform; (c) your violation of these terms; or (d) your interactions or transactions with other users, including disputes between artists and fans.

11. Termination

We may suspend or terminate your account if you violate these terms. You may delete your account at any time from your account settings. Upon termination, your content will be removed from the platform.

12. Disclaimers

WebCD is provided "as is" without warranties of any kind. We do not guarantee uninterrupted availability of the service. We are not responsible for content uploaded by artists, for the accuracy of any artist's claims or promises, or for disputes between artists and fans.

13. Limitation of Liability

To the extent permitted by law, WebCD's liability to you for any claim arising out of your use of the platform is limited to the amount you paid to WebCD (not including amounts paid to artists) in the three months preceding the claim.

14. Governing Law and Dispute Resolution

These terms are governed by the laws of the State of New York, without regard to its conflict of law principles. Any dispute arising out of or relating to these terms or your use of WebCD will be brought exclusively in the state or federal courts located in New York, New York, and you consent to the personal jurisdiction of those courts.

15. Changes

We may update these terms from time to time. We'll notify you of material changes by email or by posting a notice on the platform. Continued use of WebCD after changes take effect constitutes acceptance of the updated terms.
